This Terms of Service and End User License Agreement ("Agreement") is entered into between:

The Principal and Agent are collectively referred to as the "Service Provider." The individual registering in and using the Give a Ring mobile application is referred to as the "User" or "End User."
This Agreement is concluded between the Service Provider (Application Provider) and the End User only — and not with Apple Inc. The Service Provider, not Apple, is solely responsible for the Licensed Application (Give a Ring) and its content. The usage rules set out in this Agreement do not conflict with and are not less restrictive than Apple's App Store Terms and Conditions.
1 Licensed Application and Scope of License
1.1. Give a Ring is a mobile application that enables local, domestic long-distance, and international VoIP telephone calls using data transmission technologies. The application is distributed through the Apple App Store.
1.2. The telecommunications services accessible through Give a Ring are provided by the Principal — LLC "Information Systems" — as a licensed telecommunications operator. The Agent — LLC "NORD Plus" — acts under an agency agreement with the Principal to handle payment processing, technical infrastructure, and personal data processing on behalf of the Principal.
1.3. Acceptance of these Terms is effected by the User successfully completing registration in the Give a Ring application using a mobile phone number. From the moment of acceptance, this Agreement is binding on the User in full.
Subject to the terms of this Agreement, the Service Provider grants the End User a limited, non-exclusive, non-transferable, revocable license to use the Give a Ring application on any Apple-branded device(s) that the End User owns or controls, and as permitted by the Apple Media Services Terms and Conditions. The End User may not distribute or make the application available over a network where it could be used by multiple devices simultaneously. The End User may not transfer, redistribute, or sublicense the application.
2 Registration and Identity Verification
2.1. To start using the service, the User registers using a mobile phone number confirmed via SMS verification code.
2.2. Prior to completing full identity verification, access to services may be restricted (e.g., international calls may be unavailable or a usage limit may apply).
2.3. To obtain full access, the User must complete identity verification as required under applicable Russian telecommunications law (Federal Law No. 126-FZ "On Communications") by providing:
- a photograph (scan) of a Russian Federation passport;
- a selfie holding the passport (biometric image).
2.4. By accepting this Agreement, the User acknowledges the identity verification requirements under applicable telecommunications law and consents to providing a passport photograph and biometric image (selfie with passport) for the purpose of identity verification. This Agreement, together with the Privacy Policy, constitutes the User's written consent to the processing of these data in the manner described herein and in the Privacy Policy.
2.5. The Service Provider reserves the right to suspend or refuse services if the identity data provided does not pass verification.
3 Tariffs and Payment
3.1. Services are provided on a prepaid basis. The User tops up their account balance prior to using services.
3.2. Account top-ups are processed by the Agent (LLC "NORD Plus") via bank card payment. Funds received are credited to the User's account with the Principal. Payment made by the User to the Agent is considered full and proper payment to the Principal.
3.3. Current call rates are displayed in the Give a Ring application prior to each call. Initiating a call after viewing the applicable rate constitutes the User's consent to that rate.
3.4. The User will be notified of tariff changes at least 10 (ten) days prior to their effective date via push notification or in-app message. Continued use of the services after the effective date constitutes acceptance of the new tariffs.
Balance Refunds. Upon termination of this Agreement, the User is entitled to a refund of any unused prepaid balance. Refunds are processed within 30 (thirty) calendar days of receiving a written request, to the bank card or account from which payment was made, net of any services rendered.
4 User Obligations and Prohibited Use
4.1. The User agrees to:
- not use the service for fraud, spam, threats, or propagation of prohibited content;
- not transfer their account credentials to third parties;
- maintain a sufficient account balance;
- provide accurate and truthful data during identity verification.
4.2. The Service Provider reserves the right to immediately suspend or terminate the User's access without prior notice if the User violates Section 4.1 or any applicable law.
5 Service Provider Obligations
5.1. The Principal and Agent undertake to:
- provide telecommunications services in accordance with applicable quality standards;
- maintain accurate records of services rendered and charges applied, available for review upon request;
- store User personal data exclusively on servers located within the Russian Federation;
- provide support through channels indicated in the application.
The Service Provider is solely responsible for providing maintenance and support services for the Give a Ring application. Apple Inc. has no obligation whatsoever to furnish any maintenance or support services with respect to the Give a Ring application. For support, please contact us through the channels indicated in the Give a Ring application or at givaring.com / 1ats.ru.
7 Warranty and Disclaimer
7.1. The Give a Ring application and services are provided on an "as is" and "as available" basis. The Service Provider makes no warranties, express or implied, beyond those that cannot be disclaimed under applicable law.
7.2. The Service Provider does not warrant uninterrupted or error-free service.
The Service Provider is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Give a Ring application to conform to any applicable warranty, the End User may notify Apple, and Apple will refund the purchase price for the application (if any) to the End User. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the application. All other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the Service Provider's sole responsibility.
8 Limitation of Liability
8.1. The Service Provider is not liable for service interruptions caused by: User device or ISP malfunctions; actions of third-party telecommunications carriers; or force majeure events.
8.2. The Principal's aggregate liability for User claims is limited to the value of paid but unrendered services over the immediately preceding one (1) month period.
The Service Provider — not Apple Inc. — is responsible for addressing any claims by the End User or any third party relating to the Give a Ring application or the End User's possession and/or use thereof, including but not limited to: (i) product liability claims; (ii) claims that the application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
9 Intellectual Property
9.1. All intellectual property rights in the Give a Ring application, including software, design, trademarks, and content, are owned by or licensed to the Service Provider. The license granted in Section 1 does not transfer ownership of any intellectual property rights.
9.2. The User may not copy, modify, distribute, sell, reverse-engineer, or otherwise exploit the application except as expressly permitted by this Agreement.
In the event of any third-party claim that the Give a Ring application or the End User's possession and use thereof infringes a third party's intellectual property rights, the Service Provider — not Apple Inc. — will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
10 Suspension and Termination
10.1. The User may discontinue use of the services at any time by deleting the application or submitting a termination request through support channels. Any unused prepaid balance will be refunded in accordance with Section 3.5.
10.2. The Service Provider may suspend access in the event of: incomplete identity verification; zero or negative account balance; or breach of this Agreement.
11 Personal Data
11.1. By accepting this Agreement, the User consents to the processing of their personal data (phone number, passport data) for the purposes of identity verification and provision of telecommunications services, in accordance with the Privacy Policy which forms an integral part of this Agreement.
11.2. By accepting this Agreement, the User confirms that they have read the Privacy Policy and consents to the processing of biometric personal data (facial image — selfie with passport) and passport photograph for the purposes, scope, and on the conditions set out in this Agreement and the Privacy Policy. Acceptance of this Agreement constitutes the User's written electronic consent to such processing.
11.3. The data controller with respect to User personal data is the Principal — LLC "Information Systems." The Agent — LLC "NORD Plus" — processes personal data as a processor acting under the Principal's instructions pursuant to their agency agreement.
11.4. User personal data is stored exclusively on servers located within the Russian Federation.
The Privacy Policy is available at 1ats.ru and givaring.com and within the Give a Ring application, and forms an integral part of this Agreement.
The End User must comply with applicable third-party terms of agreement when using the Give a Ring application. In particular, the End User must not violate Apple's App Store Terms and Conditions or any other applicable third-party terms when using this application.
13 Apple Inc. as Third-Party Beneficiary
The Service Provider and the End User acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of this End User License Agreement, and that upon the End User's acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against the End User as a third-party beneficiary thereof.
14 Export Compliance
The End User may not use or export the Give a Ring application except as authorized by United States law and the laws of the jurisdiction in which the application was obtained. In particular, the application may not be exported or re-exported:
- into any U.S.-embargoed countries; or
- to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List.
By using the application, the End User represents and warrants that they are not located in any such country or on any such list.
15 General Provisions
15.1. This Agreement shall be governed by and construed in accordance with the laws of the Russian Federation. Disputes involving consumers shall be resolved at the court of the User's choice: at the Service Provider's registered address or the User's place of residence.
15.2. Before bringing a claim in court, the User must submit a written complaint to the Service Provider. A response will be provided within 30 (thirty) calendar days.
15.3. The Service Provider may amend this Agreement upon 10 (ten) days' prior notice to Users via push notification or in-app message. Continued use of the services after the effective date of amendments constitutes acceptance.
15.4. This Agreement is effective from the date of the User's registration in the Give a Ring application.
15.5. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
